These Terms & Conditions (“Terms”) govern your access to and use of the Errandigo platformand services. By requesting a delivery through WhatsApp or any other Errandigo channel, youagree to be bound by these Terms.

Errandigo Ltd (“Errandigo”, “we”, “our”, “us”) operates a WhatsApp-first logistics and errands platform that connects Business Users (BUs) and Personal Users (PUs) with independent delivery partners (“Errandians”) for safe, insured, last-mile courier and delivery services with in Lagos, Nigeria.

  1. Definitions

    • Business User (BU): A company, MSME, or enterprise using Errandigo for deliveries.
    • Personal User (PU): An individual using Errandigo for personal deliveries.
    • Errandian: An independent delivery partner matched to a delivery request through Errandigo.
    • Timi: Errandigo’s AI assistant that captures orders on WhatsApp via chat or voice(English, Pidgin, Yoruba, Igbo, Hausa).
    • Services: Courier and delivery services currently available within Lagos via the Errandigo platform.
    • Insurance Fee: A fl at fee of ₦200 per item that activates Goods-in-Transit and Fidelity Guarantee cover.
  2. Eligibility & Acceptance of Terms

    • You must be 18 years or older and legally capable of entering a binding contract under Nigerian law.
    • By initiating an order through WhatsApp (chat or voice note) and proceeding with a pickup arrangement, you confirm acceptance of these Terms.
    • If you do not agree, please do not place an order.
  3. Service Description & Availability

    • Errandigo facilitates courier and delivery by connecting you to an Errandian. Errandigo itself does not directly transport items.
    • Service area: Lagos, Nigeria. Other locations may be added later under updated terms.
    • Operating hours: As communicated on our website/WhatsApp profile. Response and delivery times may vary based on demand, weather, traffic, safety, and other operational constraints.
    • No cash deliveries: Errandigo does not collect, transport, or deliver cash, cheques, money orders or similar negotiable instruments.
  4. Ordering & Confirmation (via WhatsApp/Timi)

    • Place orders by telling Timi what you need delivered (text or voice), including:

      • Pickup & drop-off addresses, contact persons, package description, value, handling notes, and preferred timing.
    • Timi proposes a match; an Errandian may accept/counter the delivery fee. Delivery proceeds only after agreement.
    • You consent to receive operational messages, status updates, and delivery notifi cations on WhatsApp.
  5. Pricing, Negotiation & Insurance Fee

    • User-proposed fee: You (BU/PU) propose a delivery price; the Errandian may accept or counter.
    • Agreement required: Pickup only begins after both sides agree on the fee.
    • Insurance fee: ₦200 per item applies and is payable with the delivery fee (see Section12 for cover).
    • Surcharges: Additional reasonable charges may apply for special handling, oversized items, waiting time beyond agreed thresholds, or re-delivery (if needed). Such charges must be communicated and agreed in WhatsApp before they apply.
    • Currency: All amounts are in Nigerian Naira (₦) unless stated otherwise.
  6. Packaging, Size/Weight & Item Readiness

    • You must properly package items to withstand normal transport and protect contents.
    • Label packages clearly with destination details and any handling instructions (FRAGILE,THIS SIDE UP, etc.).
    • Errandians may decline items that are unsafe, inadequately packaged, exceed safe lifting/vehicle limits, or require specialized equipment not available.
  7. Prohibited & Restricted Items

    Errandigo does not transport:

    • Firearms, ammunition, explosives, or weapons.
    • Narcotics, controlled substances, or illegal items.
    • Cash, cheques, money orders, or other negotiable instruments.
    • Hazardous/flammable chemicals, radioactive or toxic materials.
    • Items prohibited under Nigerian law or requiring permits not provided.

    Restricted items (e.g., medicines) may require documentation (prescriptions, licenses). Errandians may refuse any item at their discretion for safety, legal, or policy reasons.

  8. Pickup, Delivery, Waiting Time & Failed Delivery

    • Pickup/Delivery windows are estimates and depend on traffic, weather, safety, and location access.
    • Waiting time: If the pickup or drop-off contact is unavailable or the package is not ready beyond a reasonable waiting window, the Errandian may request additional waiting charges or reschedule.
    • Failed delivery: If the recipient is unavailable, the Errandian will attempt to contact you/recipient. If still unsuccessful, the package may be returned to pickup or held for re-delivery as agreed in WhatsApp. Additional charges may apply for return or re-delivery.
  9. Secure Handover (Digital Code) & Proof of Delivery

    • For security, recipients may be required to present a digital code or similar confirmation on delivery.
    • Proof of Delivery (POD) may include name/signature, timestamp, photos, or confirmation messages.
    • Once a secure handover is completed, the delivery is deemed fulfilled.
  10. Changes, Cancellations & Re-deliveries

    • Changes (address, timing, contact) must be requested promptly in WhatsApp and are subject to Errandian agreement and any additional charges.
    • Cancellations before pickup: no charges unless costs were already incurred (e.g., long approach distances).
    • Cancellations after pickup: you may be responsible for the agreed fee (in whole or part) and any direct costs.
    • Re-delivery/Return: subject to new agreement on fees and timing.
  11. Payments, Taxes & Receipts

    • Who you pay: Payment is made directly to the Errandian (delivery partner), not to Errandigo.
    • When you pay:
      • Insurance Fee (₦200 per item): Must be paid at pickup. Insurance cover only begins once this fee has been collected.
      • Delivery Fee (negotiated amount): May be paid at pickup or after delivery, as agreed between you and the Errandian before pickup.
    • Payment methods:
      • Cash – handed directly to the Errandian.
      • Bank transfer – sent directly to the Errandian’s account.
    • Receipts: A WhatsApp confirmation or digital receipt will be issued for every transaction.
    • Taxes: Users are responsible for any taxes applicable to their transactions. Where Errandigo issues VAT-compliant invoices to Business Users on request, such details must be provided in advance.
  12. Insurance & Claims

    Activation: Insurance is activated per item once the ₦200 insurance fee has been paid at pickup. Without this payment, items are not covered.

    Covers:

    • Goods-in-Transit Insurance: Theft, loss, or physical damage during transit.
    • Fidelity Guarantee Insurance: Fraudulent conduct by an Errandian (e.g., absconding with an item).
    • Fidelity Guarantee Insurance: Fraudulent conduct by an Errandian (e.g., absconding with an item).

    Exclusions (non-exhaustive):

    • Prohibited items.
    • Items damaged due to poor packaging.
    • Items not declared or undervalued.
    • Losses caused by natural disasters, force majeure, or circumstances beyond reasonable control.
    • Consequential losses (e.g., lost profits or business opportunities).

    Declared Value: Compensation is capped at the declared value of the item. You must declare an accurate value before pickup.

    Claims Process:

    1. Report the issue to Errandigo via WhatsApp within 48 hours of delivery failure/damage.
    2. Provide supporting documents (proof of value, photos, receipts).
    3. Errandigo will facilitate review with insurance partners.
    4. Approved claims will be settled according to policy limits and declared values
  13. Customer Conduct & Acceptable Use

    You agree to:

    • Provide accurate information and lawful items only.
    • Treat delivery partners and recipients respectfully; no harassment or abuse.
    • Not use Errandigo for illegal, dangerous, or deceptive purposes.
    • Not interfere with or attempt to bypass security, tracking, or POD processes.

    Errandigo may refuse or suspend service for violations of these Terms or applicable law.

  14. Data Protection & Communications

    • Errandigo processes personal data in line with the Nigeria Data Protection Act 2023 (NDPA) and our Privacy Policy (including Cookies), which is incorporated by reference into these Terms.
    • You consent to operational communications via WhatsApp (chat/voice), including status updates, reminders, and receipts.
    • For marketing messages, we will obtain your consent; you may opt out at any time.

  15. Platform Access, IP & Third-Party Services

    • All content, trademarks and materials on Errandigo channels remain our intellectual property or that of our licensors.
    • You may not copy, modify, reverse engineer, or create derivative works from our platform content.
    • Our site/WhatsApp flow may contain links to third-party services (e.g., maps, analytics). We are not responsible for their content or privacy practices.
  16. Service Modifications, Downtime & Force Majeure

    • We may modify, suspend, or discontinue parts of the Services (e.g., features, pricing visibility) for maintenance, upgrades, or operational reasons.
    • Errandigo is not liable for unavailability caused by factors outside our reasonable control(traffic disruptions, network outages, strikes, extreme weather, security incidents, regulatory actions, or other force majeure events).
  17. Disclaimers & Limitation of Liability

    • Platform role: Errandigo facilitates matching and oversight; we are not the direct carrier.
    • No warranties: Services are provided on an “as is” and “as available” basis within Lagos.
    • No indirect damages: Errandigo is not liable for indirect, incidental, special, punitive, or consequential losses (e.g., lost profits, business interruption).
    • Cap: To the fullest extent permitted by law, Errandigo’s total liability for any claim is limited to the declared insured value of the affected item (subject to the insurance terms in Section 12).

    Nothing in these Terms limits liability that cannot lawfully be limited under Nigerian law.

  18. Indemnity

    You agree to indemnify and hold harmless Errandigo from claims, losses, liabilities, costs and expenses (including reasonable legal fees) arising from:

    • your breach of these Terms or applicable law;
    • your misrepresentation of package contents or value;
    • your violation of third-party rights;
    • your use of the Services for prohibited purposes.
  19. Governing Law, Dispute Resolution & Venue

    You agree to indemnify and hold harmless Errandigo from claims, losses, liabilities, costs and expenses (including reasonable legal fees) arising from:

    • These Terms are governed by the laws of the Federal Republic of Nigeria.
    • Parties shall first attempt to resolve disputes amicably through good-faith discussions initiated via WhatsApp/email.
    • Failing amicable resolution within a reasonable period, disputes shall be submitted to the exclusive jurisdiction of the Nigerian courts in Lagos, Nigeria.
    • This section does not prevent either party from seeking urgent injunctive relief where necessary.
  20. Changes to These Terms

    We may update these Terms periodically. Updates will be posted on our website with a revised “Last Updated” date and will apply to orders placed after the new date.
